Die Arbeit untersucht das Gesetz zur Einführung virtueller Hauptversammlungen von Aktiengesellschaften vom 26.7.2022. Sie zeichnet dabei den Weg dieses lange diskutierten Vorhabens über die Krisengesetzgebung des GesRuaCOVBekG bis zum nun geltenden Recht nach. Die Verstetigung der virtuellen Hauptversammlung wird dabei als weithin gelungen bewertet, aber auch einige Defizite aufgedeckt, für die die Arbeit einen eigenen, konkreten Maßnahmenkatalog zur legislatorischen Nachbesserung präsentiert. »The Act on the Introduction of Virtual General Meetings of Stock Corporations. Between Continuity and Reform«: This thesis examines the Act on the Introduction of Virtual General Meetings of Stock Corporations of July 26, 2022. It traces the path of this long-debated idea from the pandemic legislation of the GesRuaCOVBekG to the law now in force. The establishment of the virtual general meeting is assessed as generally successful, but the thesis also identifies several shortcomings, for which it presents a specific catalog of measures for legislative improvement. Adrian Felix Koch studied at the University of Freiburg and the University of Glasgow. Following his first state examination in 2022, he began his doctoral studies. While pursuing his doctorate, he served as a research assistant at the Institute for Business Law, Labor and Social Law, Department I: Business Law, under Professor Dr. Jan Lieder. In 2024, he earned an LL.M. from Northwestern University Pritzker School of Law in Chicago and passed the bar exam to be admitted as an attorney at law in the State of New York. Since early 2025, he has been a legal clerk at the Berlin Court of Appeal.
