Im Hinblick auf Gesellschaftsbeteiligungen des Staats stehen bislang dessen Mehrheitsbeteiligungen im Fokus des wissenschaftlichen Diskurses. Doch gelten die in diesem Zusammenhang entwickelten Grundsätze auch, wenn der Staat nur einen minderheitlichen Anteil an einer Gesellschaft erwirbt? Dieser Frage geht die Untersuchung nach und zeigt auf, wie sich die spezifischen öffentlich-rechtlichen Anforderungen an eine Minderheitsbeteiligung mithilfe aktienrechtlicher Gestaltungen umsetzen lassen. »The State as a Minority Shareholder«: Academic debate has largely focused on state majority shareholdings. But do the principles developed for them also apply when the state acquires only a minority stake? This study examines that question and shows how the specific public-law requirements for a minority holding can be implemented through corporate-law structures. Max René Brandt was born in Eupen (Belgium). He completed high school there in 2015. Beginning in the winter semester 2016/2017, he studied law at the University of Cologne. He finished his studies in the winter semester 2022/2023 and took the state mandatory exam before the Higher Regional Court of Cologne in October 2022. He then worked from 01.01.2023 to 31.12.2024 as a research assistant at the Institute for Labor and Business Law in the corporate law department (Prof. Dr. Jens Koch). Since 01.09.2025 he has been a legal trainee at the Regional Court of Cologne.
