Die Arbeit untersucht zentrale Probleme von Post-M&A-Streitigkeiten. Im Fokus stehen der Fehlerbegriff bei einer Bilanzgarantieverletzung, der Umfang der Informationspflicht des Verkäufers bei Durchführung einer Due Diligence, die Ersatzfähigkeit von Schäden und Fragen der Kausalität. Ergänzt wird die Arbeit durch eine Studie aus dem Wintersemester 2022/2023 zur Etablierung der Due Diligence und ihren Auswirkungen auf M&A-Transaktionen sowie durch Einblicke in die (schieds-)gerichtliche Praxis. »Issues of Fact, Damage and Causality in Post-M&A Disputes«: The thesis examines key issues in post-M&A disputes. It focuses on the concept of error in the event of a breach of balance sheet guarantees, the scope of the seller's duty to disclose information when conducting due diligence, the recoverability of damages, and questions of causality. The thesis is supplemented by a study from the 2022/2023 winter semester on the establishment of due diligence and its impact on M&A transactions, as well as insights into (arbitration) court practice. Alessandra Stüttgen studied law at the University of Cologne. After her first state examination, she worked there as a research assistant at the Chair of Civil Law, Accounting and Tax Law under Prof. Dr. Joachim Hennrichs while pursuing her doctorate. Alessandra Stüttgen completed her second state examination in September 2025 after completing her legal traineeship in the Higher Regional Court district of Düsseldorf.
