Durch die 2019 verabschiedete UmwRL (RL (EU) 2019/2121) wurden die Vorschriften der GesRRL über grenzüberschreitende Verschmelzungen novelliert sowie erstmals ein harmonisierter Rechtsrahmen für grenzüberschreitende Spaltungen und Formwechsel geschaffen. Die Arbeit widmet sich den neuen Vorgaben zum Schutz der Minderheitsgesellschafter sowie deren Umsetzung ins deutsche Recht durch das UmRUG. Es werden dogmatische, prozessuale und praktische Fragen auf Richtlinienebene sowie auf nationaler Ebene untersucht und verbleibender Regelungsbedarf aufgezeigt. »Protection of Minority Shareholders in Cross-Border Operations. Requirements of the Company Law Directive and Implementation in Germany«: The RL (EU) 2019/2121 amended the provisions of Company Law Directive on cross-border mergers and created a harmonized legal framework for cross-border divisions and conversions for the first time. This thesis focuses on the new requirements for the protection of minority shareholders and their implementation into German law through the »UmRUG«. It examines dogmatic, procedural, and practical issues at european and national level and identifies remaining regulatory needs. Felicitas Betz studied law with an additional training in economics at the University of Bayreuth. Since completing her first state law examination in 2021, she has been working as a research assistant at the Chair of Civil Law, German, European, and International Corporate and Capital Market Law and is pursuing her doctorate under the supervision of Prof. Jessica Schmidt, LL.M. (Nottingham). Since October 2024, Felicitas Betz currently completes her legal clerkship at the Higher Regional Court of Bamberg.
